Terms of Service

Last updated: October 26, 2026

These Terms of Service (“Terms”) govern your access to and use of Proprietio (“Service”), provided by Square Working LLC, a Wyoming limited liability company, 680 S Cache Street, Jackson, WY 83001 (“Company”, “we”, “us”). By creating an account, accepting a custom plan offer, or using the Service, you agree to these Terms.

Are you a resident or rental applicant? If you use the portal to pay rent, submit maintenance requests, or apply for a rental, these Terms are not your agreement — see the Resident Portal Terms instead.

1. Account & eligibility

You must be at least 18 years old and able to enter into a binding contract. You are responsible for maintaining the security of your account credentials. Notify us immediately at security@proprietio.com if your account is compromised.

2. Subscription plans

We offer multiple plans across four product lines (Property Management, HOA & Condo Boards, Commercial Real Estate, and Operator) as described on our Pricing page. Plan limits (number of units, properties, owner entities, etc.) are subject to change with 30 days' notice.

Monthly plans

Billed monthly in advance. Cancel anytime; cancellation takes effect at the end of the current billing period. This applies to plans you start yourself from our website.

Plans arranged with our sales team

Where we quote you a price directly — a custom offer, a negotiated rate, or a plan set up for you by our team — you choose, when you accept the offer, one of three ways to pay:

  • Monthly — billed monthly in advance at the quoted monthly price, with no commitment. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Annual, billed monthly (save 8%) — billed monthly in advance at an 8% discount versus the quoted monthly price, with a commitment of 12 months.
  • Annual, paid upfront (save 16%) — paid upfront for 12 months at a 16% discount versus the quoted monthly price.

The monthly price, the three ways to pay and the start date are stated in the written offer before you accept it; choosing an annual option when you accept is what commits you to its 12-month term. On an annual option, early cancellation does not entitle you to a refund of months already paid, and the remaining months of the term stay payable. At the end of the 12-month term the plan continues month to month and you may cancel at any time, exactly like a self-started plan.

Monthly and annual formulas

A plan you start yourself is paid in one of three ways, chosen before checkout:

  • Monthly — billed monthly at the list price, with no commitment. You may cancel at any time.
  • Annual, billed monthly (save 8%) — billed monthly at an 8% discount versus the monthly list price, with a commitment of 12 months.
  • Annual, paid upfront (save 16%) — paid upfront for 12 months at a 16% discount versus the equivalent monthly rate (just under 2 months of equivalent value).

Both annual formulas are committed for the full 12-month term. Cancelling before the end of the term takes effect at the end of the term: the service continues until then, and the remaining payments of an annual formula billed monthly stay payable. Early cancellation does not entitle you to a refund of months already paid. Unless cancelled, the term renews automatically for another 12 months on the same formula — same way of paying, same discount; you may switch formula at the renewal date.

Price increases

We may change the price of a plan with at least 30 days' written notice before the new price applies to you. If we increase the price of your plan, you may refuse the increase and terminate your contract by telling us before the new price takes effect — including during a 12-month commitment, whether you started the plan yourself or arranged it with our sales team. The remaining months of the term are then no longer payable, and on an annual plan paid upfront the unused months are refunded pro rata. This is the only case in which a commitment may be ended before the end of its term.

Add-ons follow the formula of your plan: the same discount, and on an annual formula the same term — an add-on taken during the term runs until the term ends, and an add-on on an annual plan paid upfront is charged upfront for the rest of the term.

Free trial

New accounts may start a 15-day free trial (or the trial length agreed in writing with a Proprietio representative, where one applies). No payment card is needed to start. To open the account, the owner must complete a business profile — company name, business address and business phone — which we verify. One free trial is available per person and per company; we may decline or close a trial that repeats an earlier one.

During the trial, core features are available — properties, units, tenants, leases, rent tracking, maintenance and messaging — capped at 25 units, and messages to third parties are subject to a trial sending limit. AI features, the 50-state rules engine (renewal, notice and compliance rules), document templates and bulk exports, API, MCP and integration access, online rent collection and tenant screening stay locked until you add a payment card. The card is verified by Stripe and is not charged during the trial; nothing is charged until you choose a plan.

If the trial ends without a plan being chosen, the account becomes read-only. The account and its data are permanently deleted 30 days after the trial end date; we send reminder emails before deletion. You may choose a plan at any time before then to keep your account and data. Once you choose a plan, that plan's fees and caps apply.

3. Fees & taxes

Subscription fees are stated in USD and exclusive of any applicable taxes (VAT, GST, sales tax), which we may add and remit on your behalf. Stripe processing fees on rent payments are charged separately by Stripe. Proprietio does not charge a platform fee on rent collected via Stripe Connect. Metered add-ons (AI lease drafting, e-signatures, SMS, AI tenant chat, screening, etc.) are billed per-use at the rates listed on the Pricing page; you may set spending caps from your billing settings.

3b. Product-specific addenda

Certain regulated features are governed by supplemental terms, incorporated into these Terms by reference. By activating the feature you agree to the corresponding addendum, which controls over these Terms for that feature:

3c. Renters insurance offered to your residents

3c.1 The offer. Residents may be offered renters insurance in the resident app and portal, through Sure and the insurance carriers it works with. Quoting, binding and servicing a policy are done by Sure and the carrier; the policy is a contract between the resident and the carrier. Proprietio is not an insurer, does not issue policies and does not advise residents on coverage.

3c.2 How Proprietio is paid. Sure pays Proprietio a marketing fee for the volume of its program on Proprietio. It is not a commission on any individual policy. Proprietio does not share it with you, and the offer costs you nothing.

3c.3 Requiring insurance in your lease. You may require residents to carry renters insurance in your lease, as your state allows. When you do, the Service tracks that requirement: it records the policies residents buy through Sure, and the proof of other policies residents upload, and shows whether the requirement is met. A resident may buy a policy from any insurer; your lease may not require that it be bought through Sure or through Proprietio.

3c.4 What tracking is, and is not. The status the Service shows reflects the information it has received from Sure and from residents. It is not a guarantee that a policy is in force, and it does not replace confirming coverage with the insurer before you rely on it.

3d. Home services for your residents

3d.1 What residents can book. Residents can request and pay for private household services from independent service providers in the Proprietio Partner network (“Partners”), in the resident app and portal: home cleaning, move-in and move-out cleaning, carpet and upholstery cleaning, furniture assembly and mounting, removal of the resident’s own unwanted items, and moving help (labor only). These are services a resident buys for themselves, as they would from any provider outside Proprietio.

3d.2 On by default, and your controls. Home services are turned on for every account. You may turn them off, or limit them to some categories of service or to some of your buildings, at any time from Settings → Home services for your residents. A change applies to new bookings; it does not cancel a booking a resident has already made. When home services are off, nothing is offered to your residents.

3d.3 Home maintenance is excluded. Home services never include repairs or maintenance that the lease or the law makes the landlord’s responsibility, including plumbing, electrical, heating and air conditioning, locks, smoke and carbon monoxide detectors, pests, mold, appliances provided with the unit, windows, floors and the roof. A resident who describes such a problem is directed to a maintenance request in the Service instead. Nothing in these Terms, and nothing a resident buys through Proprietio, shifts any of your repair or habitability obligations to the resident or to Proprietio.

3d.4 Who the contract is between. Each service is a contract between the resident and the Partner. Proprietio provides the platform that lists Partners, takes the booking and processes the payment through Stripe; it is not a party to that contract, is not the provider of the service, and is not the Partner’s employer or agent. You are not a party to that contract either. Neither you nor Proprietio is responsible for performing the service.

3d.5 Money. Proprietio earns a commission on each service paid through the platform. You receive no commission, referral fee or other payment for your residents’ bookings, and you pay nothing for them. Nothing is posted to your books in the Service.

3d.6 No access to units. Neither Proprietio nor you gives a Partner access to a unit: no keys, codes or entry on the resident’s behalf. The resident arranges access and lets the Partner in. The access instructions you may write for a building (hours, concierge, service elevator, loading zone) are passed to the Partner as information only. They are not a grant of access, and your building rules still apply.

3d.7 What you see. You see that a service took place in your portfolio: the date, the category of service and the unit. You do not see its price, what the resident paid, or the resident’s rating or comments: it is the resident’s private purchase, and Proprietio shares nothing more about it with you.

3d.8 Problems with a service. Disputes between a resident and a Partner about a service are handled between them, with Proprietio’s support team; refunds are decided by Proprietio. If a Partner damages your property while working for a resident, write to us: Partners in the network must carry general liability insurance, and we will give you the Partner’s business name and insurance carrier to support your claim.

4. Your data

You retain all rights to data you upload to the Service. We need a limited license to host and process it as required to deliver the Service. We will not access your data except (a) as needed to provide support, (b) for security investigations, or (c) when legally compelled.

You can export your data at any time. After cancellation, your data is retained for 90 days then permanently deleted.

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in violation of fair-housing laws
  • Attempt to access other customers' data
  • Reverse engineer, scrape, or rate-limit-bypass the Service
  • Resell access to the Service without our written consent
  • Send spam or unsolicited communications through the Service

6. Service availability

We aim for 99.5% uptime measured monthly. We are not liable for temporary unavailability due to scheduled maintenance, third-party provider outages (Stripe, Render, Vercel), or events beyond our reasonable control.

7. Termination

Either party may terminate at any time. We may suspend or terminate accounts that violate these Terms, engage in fraud, or fail to pay. Upon termination of a paid plan, prepaid amounts (other than annual plan commitments) are refunded pro-rata.

8. Disclaimers

The service is provided "as is". We disclaim all warranties to the maximum extent permitted by law. We do not guarantee the accuracy of state-specific lease law features — consult a licensed attorney for legal advice. We do not provide financial or tax advice — consult a CPA.

Proprietio is a technology platform. You — not we — are responsible for your compliance with the laws that govern your rental business, including the Fair Housing Act, the Fair Credit Reporting Act, state and local landlord-tenant law, security-deposit and trust-accounting rules, and the terms of your leases. We are not a party to any lease, screening decision, or housing decision you make using the Service.

9. Limitation of liability

Our total liability under these terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Teton County, Wyoming. You and we each waive any right to a jury trial.

11. Changes

We may update these Terms. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
