Partner Agreement

Last updated: October 26, 2026

This Partner Agreement (“Agreement”) is between Square Working LLC, a Wyoming limited liability company that operates Proprietio (“Proprietio”, “we”), and the person or company that applies to the Proprietio Partner Program (“Partner”, “you”). It supplements our Terms of Service.

1. Acceptance and eligibility

You accept this Agreement by checking the agreement box on the application form. We record the date, your IP address and your browser details as proof of that electronic signature, which has the same effect as a handwritten one. Every application is reviewed by our Partnerships team and we may approve or decline it at our discretion. You must be at least 18, or a legal entity able to enter contracts. Partners based outside the United States are welcome; see section 4 for how they are paid.

2. The program

Once approved, you receive a unique referral link. You may promote Proprietio to landlords and property managers through that link and the promotional materials we provide. You are an independent contractor, not an employee, agent or legal representative of Proprietio, and may not make commitments on our behalf.

3. Commission

For each customer you refer who becomes a paying subscriber, you earn one month of the subscription amount that customer pays us. The commission is earned once the customer has paid two months of subscription, or immediately when they pay a year up front. It is earned once per customer: nothing is owed on later payments or renewals. If a customer cancels, is refunded, or charges back before the commission is earned, no commission is owed. We calculate commission on the amount actually received for the subscription, excluding taxes, add-ons billed separately, payment-processing fees and refunds. The terms in force when a referral qualifies apply to that referral; later changes to the program do not change a commission already earned.

3.1 Accountant, real estate broker and landlord association partners

If we accept you as an accountant partner (a CPA, enrolled agent, bookkeeper or accounting firm), or as a real estate broker partner (a licensed real estate broker or brokerage that sells property to investors), or as a landlord association partner (an association of landlords or real estate investors that refers its members), this section replaces the first paragraph of section 3. An accountant partner chooses, for each customer it refers and before that customer's first payment, one of the two rewards below; a real estate broker partner earns the revenue share and its customer also receives the closing gift described in section 3.1.1; a landlord association partner earns the revenue share and its member also receives the member offer described in section 3.1.2:

  • Revenue share: 20% of the subscription amount the customer pays us for each of its first 24 months of paid subscription. It becomes payable once the customer has paid two months, or a year up front, and is then earned as each later payment is received. Nothing is owed on a customer who stops paying before that, and nothing is owed after the 24th month.
  • Client discount: the customer gets 20% off its first 12 months of subscription, and no commission is owed to you for that customer.

Once the customer has made its first payment, your choice for that customer is final. The amounts excluded in section 3 (taxes, add-ons billed separately, processing fees, refunds) are excluded here too.

3.1.1 Real estate broker partners: the closing gift

Each customer you refer as a real estate broker partner gets three months of subscription free when it subscribes on a 12-month commitment (annual billed monthly, or annual paid up front, where the gift is a quarter off the first year). A customer that subscribes month to month, without a commitment, does not get the free months. The gift is granted once per customer and is the customer’s whether or not a revenue share is owed to you. The client discount above does not apply to your customers. You earn the revenue share on top of the gift: the free months are not paid, so they earn nothing and do not count towards the 24 months. Where you may not take a revenue share (section 3.2), your customers keep the gift and nothing is owed to you.

3.1.2 Landlord association partners: the member offer and your workspace

Each member you refer as a landlord association partner chooses, when it subscribes, one of two offers: three months of subscription free on a 12-month commitment (annual billed monthly, or annual paid up front, where it is a quarter off the first year), or 20% off its first 12 months of subscription on any billing formula, monthly included. A member that picks the free months and then subscribes month to month gets the 20% instead. The offer is granted once per member and is the member’s whether or not a revenue share is owed to you; it never reduces your revenue share. The free months are not paid, so they earn nothing and do not count towards the 24 months.

While you are an active partner, your association’s own workspace may run on a Proprietio Association plan that we do not bill, within that plan’s limits. If the partnership is paused or ends, that workspace goes back on a 30-day trial with all its data, after which you may subscribe to keep it. We show your association’s name, and its website if you give one, to the members you refer and on your members’ page, for as long as they use Proprietio.

3.2 Your professional rules

You are responsible for following the rules of your profession and jurisdiction on commissions and referral fees: in the United States, the AICPA Code of Professional Conduct (rule 1.520) and your state board's rules; in Canada, the code of your provincial CPA body. You must not choose the revenue share for a customer for whom your rules forbid it, such as a client for whom you perform an audit, review or other attest or assurance engagement, or any client if your rules forbid referral fees altogether, as the Ordre des CPA du Québec does. Choose the client discount for that customer instead. Where a commission is allowed, you must make the disclosure, and obtain the consent, that your rules require before or when you refer the customer. We may set your account to client discount only, at your request or where we believe a commission is not allowed. This section is not legal or professional advice.

If you are a real estate broker partner, you are responsible for the rules of your license and jurisdiction, including your state’s or province’s rules on compensation paid to licensees and on disclosure to your clients. If you act for a brokerage, the partnership is held in the brokerage’s name and what you earn is paid to it, unless your rules allow otherwise. The revenue share is paid on software subscriptions only: it is never tied to a sale, a lease, a mortgage, a closing or any other real estate transaction, and it is not a share of any commission on one. Mortgage brokers, loan officers, mortgage lenders and title or escrow providers may not take the revenue share. Where your rules do not allow a referral fee, tell us and we will set your account to no commission. You agree that we show your name, brokerage, email and phone number to the customers you refer, as the person who offered their closing gift, for as long as they use Proprietio.

If you are a landlord association partner, the partnership is held in the association’s name and what it earns is paid to the association. You must tell your members, whenever you recommend Proprietio, that your association receives a share of what members pay, and obtain any approval your bylaws or board require before you enter this partnership. Neither of us pays the other a sponsorship fee or for a placement, and the partnership is not exclusive: your members remain free to choose any software.

4. Payment

Earned commissions are paid in our monthly payout run, in US dollars, by the method agreed with you. You are responsible for any taxes on what you earn. US Partners must give us a valid taxpayer identification number and may receive a Form 1099 where required by law. Partners based outside the United States are paid by international wire transfer in US dollars, and must first give us a completed Form W-8BEN (individuals) or W-8BEN-E (companies) and their bank details; we cannot pay before we have them. International wire payouts are made once your earned, unpaid commission reaches $100; below that amount it carries over to the next monthly payout, so nothing is lost. The fees our own bank charges to send a wire are not deducted from your commission. Bank charges on a wire may be deducted by the receiving banks and are not ours to refund. We may withhold or reverse a commission that was paid in error, or that relates to a fraudulent, refunded or disqualified signup.

5. Attribution

5.1 First click

When a visitor follows your link, we store a cookie for 90 days. If they sign up within that window, the customer is attributed to you. The first referral link a visitor clicks is the one credited: a later click on another Partner’s link does not replace it.

5.2 What does not count

Signups from your own accounts or those of people you control, signups made without a genuine intent to use the product, and customers that already had an account before your click are not eligible.

6. Promotion rules

You agree that you will not:

  • bid on “Proprietio” or confusingly similar names, or misspellings of them, as keywords in paid search or social advertising, or register domains or social handles containing them;
  • promote through coupon, deal or cashback sites, or through incentives paid to people for signing up;
  • make false or misleading claims about Proprietio, its pricing or its results, or promise income or savings we have not stated;
  • impersonate Proprietio, imply you are part of it, or use our logos and marks other than as we provide them;
  • send unsolicited bulk email or messages, or break any anti-spam, telemarketing or privacy law;
  • generate signups by automated, deceptive or fraudulent means.

Paid promotion of your own independent content, other than as set out above, is permitted provided it complies with this Agreement and the law. Paid traffic must not be sent directly to your referral link where the destination would mislead a visitor about who is advertising.

7. Disclosure

You must clearly disclose your financial relationship with Proprietio wherever you promote us, in line with the US Federal Trade Commission Endorsement Guides (16 CFR Part 255) and any equivalent local rules. The disclosure must be easy to notice and placed with the recommendation, not hidden in a footer or behind a link.

8. Term and termination

Either of us may end this Agreement at any time by written notice. We may pause or revoke your participation immediately if you break this Agreement or the law. Commissions already earned before termination remain payable, unless they relate to conduct that breached this Agreement.

9. Confidentiality and intellectual property

We grant you a limited, revocable, non-exclusive license to use our name and the materials we provide solely to promote Proprietio under this Agreement. All rights remain with us. Non-public information we share with you must be kept confidential.

10. Liability

The program is provided as is. To the extent permitted by law, we are not liable for indirect or consequential losses, and our total liability under this Agreement is limited to the commissions payable to you in the twelve months before the claim. We do not guarantee that you will earn any amount.

11. Governing law

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Teton County, Wyoming.

12. Changes

We may update this Agreement. Material changes will be sent by email at least 30 days before they take effect; if you keep promoting Proprietio after that date you accept them. Changes never reduce a commission already earned.

13. Proprietio Partner network: services to residents

This section applies only to a service provider in the Proprietio Partner network (a “network partner”) that chooses to offer its services to the residents of properties managed on Proprietio (“resident services”). It does not apply to referral partners. A network partner accepts it in its partner portal or the Proprietio Pro app when it turns resident services on; resident services are off until it does. Jobs ordered by property managers stay under the network terms the partner already accepted.

13.1 The contract is with the resident

Each resident service is a contract between you and the resident. Proprietio provides the platform (your listing, the booking and the payment through Stripe) and is not a party to it; the resident’s property manager is not a party to it either. You are an independent business: you are responsible for the work, your workers, your insurance and your taxes, except a sales tax Proprietio collects as a marketplace facilitator where the law requires it. You enter a unit only when the resident lets you in, and you follow the building access instructions sent with the booking. You never offer, through resident services, a repair that is the landlord’s responsibility (plumbing, electrical, heating and air conditioning, locks, pests, appliances provided with the unit, and the like): you point the resident to a maintenance request instead.

13.2 Commission

Proprietio keeps a commission of 10% of the price of each resident service you are paid for through Proprietio. In California, the 10% commission is added on top of your price instead of being deducted from it: the resident’s all-in price includes it, and you receive your price less your half of the payment-processing fees. If a payment is refunded, the commission on it is refunded too.

13.3 Payment-processing fees

Stripe’s fee on each resident payment is split: half is yours, deducted from what you receive, and half is the resident’s, included in the single all-in price the resident sees before paying. Both halves are computed from Stripe’s standard rate when the resident books; if the actual fee differs (a foreign card, for example), Proprietio absorbs the difference and what you receive does not change.

13.4 Cancellation

For each service you choose a free-cancellation window (24, 48 or 72 hours before the appointment) and whether a later cancellation by the resident costs a fee. If you choose a fee, it is $25, fixed: you do not set the amount. Of the $25, $5 goes to Proprietio and Stripe’s fee on the $25 is taken from your share; on a standard US card you receive $18.97. Your conditions are shown to the resident before they pay and are copied onto the booking: changing them later never changes a booking already made. No fee is ever charged when you cancel or do not come; the resident is refunded in full. Where state law gives the resident a period to cancel (for example in California, Massachusetts or Ohio), no fee is charged during that period, and no work starts in it where the law says so.

13.5 Bank payments (ACH)

You choose whether residents may pay you by bank debit. A bank debit is taken when the job is finished and you are paid once the money has arrived. If the resident’s bank rejects or returns the debit, you are not paid for that job through Proprietio: the risk is yours, and Proprietio bears no responsibility and owes you nothing for it. Proprietio keeps no commission on it. You and the resident settle it between you; you may send the resident a card payment request for the same amount from the Proprietio Pro app.

13.6 Prices

The resident pays the price shown before booking, or the quote they accepted in the app. You never change a price on site and never ask the resident for any amount outside Proprietio. If the job turns out different from what was booked, you send a revised quote in the app, and the resident must accept it before the extra work starts.

13.7 Ratings

Residents rate each job from 1 to 5 stars and may leave a comment that only Proprietio staff read. All ratings count: Proprietio does not filter, hide or remove a rating because it is low. A rating is removed only if it is abusive, fake, unrelated to the job or exposes personal information, and each removal is recorded with its reason. You may not offer anything in exchange for a rating, ask only the residents you expect to be happy, or ask a resident to change or remove a rating (FTC rule on consumer reviews, 16 CFR Part 465). You see your average from 3 ratings; your public partner page shows it from 5.

13.8 State credentials

For each category of service you offer, you must hold the license, registration or permit the state requires for that category where you do the work (for example a household goods mover registration for moving help, or a hauling permit for junk removal), keep it current, and upload it in your portal. Proprietio checks it before the category opens to you, and closes it when the credential expires. Moving help through Proprietio is labor only, inside one state: loading, unloading and carrying, never transporting the resident’s belongings.
